These Buyer Terms & Conditions ("Buyer Terms") govern all enquiries, quotations, orders, purchases and transactions made by buyers through SparesHub.com ("Platform"). The Platform is owned and operated by Iradium Automobiles Private Limited, operating under the brand SparesHub ("SparesHub", "Company", "we", "us" or "our"). These Buyer Terms must be read together with the general Terms of Use, Privacy Policy, Cancellation, Return and Refund Policy, Legal Disclaimer and other policies published on SparesHub.com. By submitting an enquiry, accepting a quotation, placing an order or making payment through SparesHub.com, you agree to these Buyer Terms.

2. WHO IS A BUYER
A "Buyer" includes any person or business purchasing or attempting to purchase automobile spare parts through the Platform, including:
- garages;
- workshops;
- automobile retailers;
- fleet operators;
- dealerships;
- repair centres;
- businesses;
- mechanics;
- vehicle owners; and
- other customers.
If you place an order on behalf of a business or organisation, you confirm that you are authorised to act on its behalf.
3. MARKETPLACE MODEL
SparesHub.com operates as an enquiry-driven automobile spare-parts marketplace. A Buyer may post a requirement, after which quotations may be provided by:
- SparesHub directly; and/or
- approved third-party marketplace sellers.
The Buyer may review available quotations and select a suitable offer. SparesHub may act as the direct seller, marketplace facilitator, transaction facilitator or logistics facilitator depending on the transaction.
4. BUYER ACCOUNT
Buyers may be required to create an account to use certain Platform features. The Buyer is responsible for:
- providing accurate registration information;
- maintaining current contact details;
- keeping login credentials confidential; and
- all activities conducted through the account.
SparesHub may suspend or restrict accounts suspected of fraud, misuse or violation of these Buyer Terms.
5. SUBMITTING AN ENQUIRY
When submitting an enquiry, the Buyer should provide complete and accurate information, including where available:
- vehicle make;
- model;
- variant;
- manufacturing year;
- VIN/chassis number;
- registration number;
- engine or transmission details;
- part name;
- part number;
- quantity;
- photographs; and
- any specific brand or quality requirement.
Incomplete or incorrect information may result in incorrect identification, pricing or supply.
6. ACCURACY OF BUYER INFORMATION
The Buyer is responsible for the accuracy of all information submitted. Where an incorrect product is supplied because the Buyer provided incorrect:
- VIN/chassis information;
- model or variant;
- part number;
- vehicle details;
- quantity; or
- other technical information,
the Buyer may not be eligible for cancellation, return or refund.
7. QUOTATIONS
A quotation may specify:
- part description;
- part number;
- brand;
- product category;
- price;
- GST;
- availability;
- estimated dispatch time;
- estimated delivery time;
- freight or logistics charges;
- warranty information; and
- quotation validity.
The Buyer must review the quotation carefully before accepting it.
8. QUOTATION VALIDITY
Quotations are valid only for the period specified. If no validity period is specified, availability and pricing remain subject to reconfirmation before order acceptance. Expiry of a quotation may result in revised price, availability or delivery terms.
9. QUOTATIONS ARE SUBJECT TO STOCK CONFIRMATION
A quotation does not by itself reserve inventory. Stock may be sold, allocated or become unavailable before payment or final confirmation. An order is subject to final stock and commercial confirmation.
10. PART NUMBER VERIFICATION
Automobile spare parts can vary significantly between vehicle variants. Where a part number is displayed in a quotation, the Buyer should verify it before placing the order wherever reasonably possible. If the Buyer independently provides or confirms a part number and that exact part number is supplied, return eligibility may be restricted even if the part is later found unsuitable for the Buyer's vehicle.
11. VIN-BASED IDENTIFICATION
Where the Buyer requests SparesHub to identify a part based on VIN/chassis information, the Buyer must provide accurate and complete vehicle data. VIN-based identification reduces but does not eliminate the possibility of catalogue, supersession or manufacturer-data errors. The final quotation should still be reviewed before confirmation.
12. PRODUCT CATEGORIES
Depending on the enquiry, quotations may include:
- Genuine/OEM parts;
- OES parts;
- aftermarket parts;
- replacement parts; or
- other specifically identified categories.
The Buyer is responsible for reviewing the product category and brand before accepting a quotation.
13. ACCEPTANCE OF QUOTATION
Selecting or accepting a quotation indicates the Buyer's intention to purchase the quoted product subject to:
- payment;
- stock confirmation;
- seller confirmation;
- technical verification where required; and
- final order acceptance by SparesHub.
14. ORDER CONFIRMATION
An order is considered confirmed only after the applicable order process has been completed. SparesHub may require:
- full or partial payment;
- confirmation of part details;
- seller stock confirmation;
- shipping information; and/or
- additional verification.
An order acknowledgement does not necessarily mean that the product has been procured or dispatched.
15. PRICING
The Buyer agrees to pay the final amount stated in the confirmed order. Prices may vary between sellers for the same or similar product. Differences may arise due to:
- sourcing channel;
- stock age;
- manufacturer pricing;
- seller pricing;
- delivery location;
- availability;
- warranty;
- freight; or
- product category.
SparesHub is not obligated to match another seller's price.
16. TAXES AND INVOICING
Applicable GST and other statutory charges will be applied as required. The Buyer must provide correct GST and billing details before invoice generation. SparesHub is not responsible for errors in invoices resulting from incorrect information supplied by the Buyer. Corrections after invoice issuance may be subject to legal, tax and operational limitations.
17. PAYMENT TERMS
Unless otherwise agreed in writing, orders must be paid according to the payment terms displayed or communicated for the transaction. SparesHub may require:
- 100% advance payment;
- partial advance;
- balance payment before dispatch; or
- another approved payment arrangement.
Orders may be withheld or cancelled if payment is not received within the required period.
18. CREDIT FACILITY
Any credit facility offered to a Buyer is discretionary and may be:
- provided directly where legally permitted;
- provided through a financial institution or financing partner; or
- subject to separate credit terms.
Approval of credit on one transaction does not create an entitlement to future credit. Late payments may attract charges where agreed and permitted by law.
19. AUTHORISED PAYMENT METHODS
Buyers must make payments only through payment methods or bank accounts officially communicated by SparesHub. Payments made to:
- personal bank accounts;
- unauthorised representatives;
- unknown UPI IDs;
- third-party sellers outside the approved Platform process; or
- any other unauthorised recipient
are made at the Buyer's own risk.
20. DIRECT PAYMENT TO MARKETPLACE SELLERS
Where a transaction is structured through SparesHub, the Buyer must not make direct payment to the seller unless expressly instructed or approved by SparesHub. SparesHub shall not be responsible for unauthorised off-platform payments.
21. ORDER CANCELLATION
Cancellation is governed by the Cancellation, Return and Refund Policy. As automobile spare parts may be specifically procured against an enquiry, an order may become non-cancellable once:
- procurement begins;
- the seller confirms stock;
- a purchase commitment is made;
- the part is specially ordered;
- packaging or dispatch begins; or
- the order reaches another non-reversible stage.
22. CHANGE OF MIND
A Buyer is generally not entitled to cancel or return a correctly supplied part merely because:
- it is no longer required;
- the Buyer's customer cancelled the repair;
- the Buyer found a lower price elsewhere;
- the vehicle was repaired by another method;
- the Buyer ordered the wrong quantity; or
- the Buyer changed their mind.
23. SPECIAL-ORDER PRODUCTS
Products procured specifically against:
- VIN;
- part number;
- dealership order;
- backorder;
- imported requirement;
- special sourcing request; or
- customer-specific requirement
may be non-cancellable and non-returnable once procurement has commenced.
24. DELIVERY ADDRESS
The Buyer must provide a complete and accurate delivery address. Any additional cost caused by:
- incorrect address;
- incorrect PIN code;
- wrong mobile number;
- consignee unavailability;
- refused delivery; or
- address modification after dispatch
may be charged to the Buyer.
25. DELIVERY TIMELINES
All delivery and procurement timelines are estimates unless expressly guaranteed in writing. Delivery may be affected by:
- seller delays;
- dealership procurement;
- courier or transporter delays;
- weather;
- strikes;
- holidays;
- regulatory restrictions;
- destination accessibility; and
- other factors outside SparesHub's reasonable control.
26. PART-SHIPMENTS
Where an order contains multiple parts, SparesHub may dispatch products separately depending on availability and sourcing location. The Buyer agrees that an order may therefore arrive in multiple shipments.
27. TRANSPORT AND LOGISTICS
Orders may be transported through:
- courier companies;
- surface logistics companies;
- part-load transporters;
- local delivery operators; or
- other logistics providers.
The logistics method may depend on product dimensions, weight, location and commercial feasibility.
28. INSPECTION AT DELIVERY
The Buyer should inspect the package at delivery where reasonably possible. Where packaging is visibly damaged, the Buyer should:
- photograph the package;
- record the condition;
- note damage with the transporter where possible; and
- notify SparesHub promptly.
29. UNBOXING VIDEO
For valuable, fragile, electronic or multi-item orders, Buyers are strongly advised to record a continuous unboxing video. An unboxing video may be required to establish certain shortage, damage or wrong-product claims where the facts cannot otherwise be verified.
30. REPORTING DAMAGE, SHORTAGE OR WRONG PRODUCT
Claims involving:
- visible transit damage;
- missing items;
- incorrect quantity;
- incorrect product; or
- materially different products
should be reported within 48 hours of delivery. Delayed claims may be rejected where verification is no longer reasonably possible, subject to applicable law.
31. RETURNS
No product should be returned without prior authorisation from SparesHub. Approved returns must comply with the Cancellation, Return and Refund Policy. Products ordinarily must remain:
- unused;
- uninstalled;
- unmodified;
- complete; and
- in original packaging.
32. INSTALLED PRODUCTS
Products that have been installed, used, programmed, modified or altered are generally non-returnable except where applicable warranty rights or mandatory legal rights apply.
33. ELECTRICAL AND ELECTRONIC PARTS
Electrical and electronic parts may require programming, calibration, coding or adaptation. The Buyer must ensure that installation is performed by competent personnel with appropriate equipment. Once installed, coded or connected, such parts may not be eligible for standard return.
34. WARRANTY
Where a product carries a manufacturer, supplier or seller warranty, the warranty will be subject to the applicable third-party terms. Warranty claims may require:
- installation invoice;
- diagnostic report;
- photographs;
- vehicle details;
- return of the product; or
- manufacturer inspection.
SparesHub cannot guarantee approval of a third-party warranty claim.
35. PROFESSIONAL INSTALLATION
The Buyer is responsible for having products installed by suitably trained personnel. SparesHub is not responsible for damage resulting from:
- incorrect fitting;
- improper diagnosis;
- improper programming;
- negligence;
- wrong tools;
- unauthorised modification; or
- failure to follow manufacturer procedures.
36. LABOUR AND CONSEQUENTIAL EXPENSES
Unless expressly agreed otherwise, SparesHub does not reimburse:
- labour charges;
- installation charges;
- removal charges;
- diagnostics;
- towing;
- vehicle downtime;
- rental vehicles;
- loss of revenue;
- lost profits; or
- other consequential expenses.
37. PRODUCT IMAGES AND PACKAGING
Product photographs may be representative. Packaging, labelling, colour, manufacturing location or minor design details may change without necessarily making the product incorrect.
38. SUPERSEDED PART NUMBERS
The Buyer acknowledges that manufacturers may replace older part numbers with new or superseding part numbers. Supply of an officially superseded compatible part will not automatically be treated as supply of the wrong product.
39. MARKETPLACE SELLER QUOTATIONS
Third-party sellers are responsible for the accuracy of information they provide. SparesHub may conduct seller checks and marketplace controls but does not guarantee that every seller statement will always be free from error. If a dispute arises, SparesHub may investigate the transaction and request evidence from both Buyer and seller.
40. BUYER CONDUCT
The Buyer must communicate professionally with:
- SparesHub staff;
- sellers;
- delivery partners; and
- other marketplace participants.
Abusive, threatening, fraudulent, discriminatory or harassing behaviour may result in account restriction or termination.
41. MARKETPLACE CIRCUMVENTION
Buyers must not use seller information obtained through SparesHub to deliberately bypass the Platform for an active transaction. This includes attempting to:
- obtain direct seller contact details for circumvention;
- request an off-platform quotation solely to avoid SparesHub;
- make unauthorised direct payments; or
- induce sellers to move marketplace transactions outside SparesHub.
SparesHub may restrict accounts involved in systematic circumvention.
42. FRAUD AND ABUSE
SparesHub may suspend transactions or accounts where it reasonably suspects:
- payment fraud;
- false damage claims;
- false shortage claims;
- product substitution;
- manipulated documents;
- fake enquiries;
- abusive return behaviour;
- chargeback abuse; or
- other fraudulent conduct.
Appropriate legal action may be taken where necessary.
43. CHARGEBACKS AND PAYMENT DISPUTES
Before initiating a payment chargeback, the Buyer should first contact SparesHub and provide a reasonable opportunity to investigate the issue. Fraudulent or unjustified chargebacks may result in:
- suspension of the account;
- recovery proceedings;
- restriction of future orders; and
- recovery of reasonable transaction costs where legally permitted.
44. B2B BUYERS
Where the Buyer purchases goods for business or commercial purposes, the Buyer acknowledges that the transaction may constitute a business-to-business transaction. Business Buyers are expected to exercise reasonable commercial and technical diligence before confirming orders. Nothing in these terms excludes rights that cannot lawfully be excluded.
45. CUSTOMER OF A GARAGE OR RESELLER
Where a garage, workshop, retailer or other business Buyer purchases a part on behalf of its own customer, the relationship between that Buyer and its customer is separate from SparesHub's marketplace transaction. Cancellation by the Buyer's end customer does not automatically cancel the Buyer's order with SparesHub.
46. RESELLING PRODUCTS
Business Buyers may resell products purchased through SparesHub subject to applicable law. SparesHub does not assume responsibility for representations, warranties or commitments made independently by the Buyer to its own customers.
47. ACCOUNT SUSPENSION
SparesHub may restrict or suspend a Buyer account for reasons including:
- repeated payment defaults;
- fraudulent claims;
- marketplace circumvention;
- abusive conduct;
- violation of these Buyer Terms;
- suspicious activity; or
- legal or regulatory requirements.
48. LIMITATION OF LIABILITY
To the maximum extent permitted by law, SparesHub will not be liable for indirect, incidental, special or consequential losses arising from a transaction. This includes:
- loss of business;
- loss of profit;
- vehicle downtime;
- loss of vehicle use;
- labour cost;
- towing charges; and
- consequential commercial loss.
Where liability cannot lawfully be excluded, it will remain subject to applicable law.
49. COMMUNICATIONS
The Buyer agrees that SparesHub may send transaction-related communications through:
- telephone;
- SMS;
- WhatsApp;
- email; and
- Platform notifications.
These may include enquiry, quotation, payment, dispatch, delivery and support updates.
50. DISPUTE RESOLUTION
If a dispute arises, the Buyer should first raise the matter with SparesHub and provide:
- order number;
- invoice details;
- relevant photographs or videos;
- communication records; and
- a clear description of the issue.
SparesHub may investigate the matter with the relevant seller, logistics provider or other involved party.
51. GOVERNING LAW AND JURISDICTION
These Buyer Terms are governed by the laws of India. Subject to mandatory statutory rights and jurisdiction, courts having jurisdiction in Pune, Maharashtra shall have exclusive jurisdiction over disputes arising from these Buyer Terms.
52. CHANGES TO BUYER TERMS
SparesHub may update these Buyer Terms periodically. The version applicable to an order will generally be the version effective when that order was placed, subject to applicable law.
