These Terms of Use ("Terms") govern your access to and use of SparesHub.com, including its website, applications, marketplace, enquiry, quotation, ordering, communication and related services (collectively, the "Platform"). The Platform is owned and operated by Iradium Automobiles Private Limited ("Iradium", "SparesHub", "Company", "we", "us" or "our"), a company incorporated under the laws of India.

By accessing, registering on, or using the Platform, you agree to these Terms. If you do not agree, you must not use the Platform.

2. ABOUT SPARESHUB

SparesHub.com is an automobile spare-parts marketplace and enquiry platform designed to connect buyers with sellers of automobile spare parts and related products. Buyers may include garages, workshops, retailers, businesses, vehicle owners and other customers. Sellers may include spare-parts retailers, distributors, dealers, authorised dealerships, manufacturers, suppliers and SparesHub itself.

A buyer may submit a requirement or enquiry through the Platform. Eligible sellers and/or SparesHub may respond with quotations, availability information, delivery estimates and other commercial terms.

SparesHub may therefore act in different capacities for different transactions, including as:

• a technology platform facilitating enquiries and quotations;
• an intermediary between buyers and third-party sellers;
• a logistics or transaction facilitator; and/or
• a direct seller or supplier of products.

The applicable role of SparesHub may vary depending upon the transaction.

3. ELIGIBILITY

You must be legally capable of entering into a binding contract under Indian law to use the Platform. If you use the Platform on behalf of a company, garage, dealership, partnership, proprietorship or other organisation, you represent that you have authority to bind that organisation to these Terms.

4. ACCOUNT REGISTRATION

Certain Platform features may require registration. You agree to provide accurate and current information and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account. You must immediately inform SparesHub if you suspect unauthorised access to your account.

SparesHub may suspend, restrict or terminate accounts that contain false information, are used fraudulently, violate these Terms or create risk for the Platform or its users.

5. BUYER ENQUIRIES

Buyers may submit enquiries containing information such as:

• vehicle make and model;
• variant or manufacturing year;
• VIN/chassis number;
• registration details;
• part number;
• part description;
• photographs;
• quantity;
• preferred brand or quality;
• delivery location; and
• other information required to identify the correct product.

The buyer is responsible for providing accurate and sufficient information. An enquiry does not constitute an order, acceptance, reservation of inventory or guarantee of supply. Submitting an enquiry does not obligate any seller or SparesHub to provide a quotation.

6. QUOTATIONS

Sellers and/or SparesHub may submit quotations against buyer enquiries. Unless specifically stated otherwise, quotations are subject to:

• stock availability;
• final part-number verification;
• price confirmation;
• applicable taxes;
• delivery charges;
• delivery location;
• quotation validity;
• supplier availability; and
• other commercial conditions stated in the quotation.

A quotation does not guarantee that inventory will remain available until payment and final order confirmation. Prices and availability may change before an order is confirmed.

7. PART IDENTIFICATION AND COMPATIBILITY

Automobile spare parts may vary depending on model, variant, engine, transmission, manufacturing date, chassis/VIN and other technical specifications. Buyers must provide accurate vehicle and part information. Part-number matching, catalogue references, VIN searches, images, descriptions, compatibility information and recommendations provided through the Platform are intended to assist identification but may not constitute an absolute guarantee of compatibility unless expressly confirmed in writing. Where reasonably requested, buyers should verify the quoted part number before placing the order.

8. PRODUCT INFORMATION

Product descriptions, photographs, diagrams, catalogue references, brand names, part numbers and other product information may originate from manufacturers, sellers, distributors, catalogues or other sources. Images may be representative. Actual packaging, labels, colour, design, manufacturing location or appearance may differ without affecting the intended functionality of the product. SparesHub does not warrant that every product description or image provided by a third-party seller is complete or error-free.

9. SELLERS

Third-party sellers are responsible for the accuracy of information submitted by them, including:

• price;
• stock availability;
• product condition;
• brand;
• authenticity;
• part number;
• dispatch timeline;
• tax invoice;
• warranty information; and
• other representations concerning their products.

SparesHub may verify, approve, suspend or remove sellers at its discretion. Approval of a seller on the Platform should not be interpreted as an unconditional endorsement or guarantee of that seller or every product supplied by that seller.

10. ORDERS AND ACCEPTANCE

An order is considered confirmed only after the applicable order-confirmation requirements displayed or communicated by SparesHub have been completed. These may include payment, stock confirmation, part verification or other checks.

SparesHub reserves the right to reject or cancel an order before dispatch where reasonably necessary due to circumstances including:

• stock unavailability;
• incorrect pricing;
• incorrect product information;
• seller failure to confirm inventory;
• suspected fraud;
• payment failure;
• regulatory restrictions;
• logistical impossibility; or
• an obvious technical or pricing error.

Where payment has already been collected for an order that cannot be fulfilled, the applicable refund process will apply.

11. PRICES AND TAXES

Prices displayed or quoted on the Platform may include or exclude GST depending on how the quotation is presented. The final payable amount will be communicated before order confirmation. Delivery, handling, insurance, packaging or other charges may apply separately.

SparesHub may earn a margin, commission, transaction fee, service fee or other commercial consideration from transactions conducted through the Platform. SparesHub is not required to disclose its procurement cost, seller price, commission or commercial margin to users unless required by law.

12. PAYMENTS

Payments must be made using payment methods approved by SparesHub. Users must not make payments directly to another Platform user where the transaction is required to be processed through SparesHub. SparesHub will not be responsible for payments made outside the authorised transaction process. Additional payment terms may apply to specific transactions and will form part of the transaction terms.

13. DELIVERY AND LOGISTICS

Products may be delivered using SparesHub's logistics partners, seller-arranged transportation, courier companies, transport operators or other logistics providers. Delivery dates and ETAs are estimates unless expressly guaranteed in writing.

Delivery may be affected by factors outside SparesHub's reasonable control, including transport delays, weather, strikes, natural events, operational disruptions, regulatory checks and incorrect delivery information. The buyer must provide accurate delivery information and ensure that someone is available to receive the shipment. Users should inspect packages at the time of delivery wherever reasonably possible and promptly report visible damage, shortages or incorrect products.

14. CANCELLATIONS, RETURNS AND REFUNDS

Cancellations, returns, replacements and refunds are governed by the applicable Cancellation, Return and Refund Policy published on SparesHub.com. Automobile spare parts are often specifically sourced against vehicle details, VIN numbers or customer requirements. Consequently, cancellation or return may not be available merely because a buyer changes their mind or no longer requires the product. Users should review the applicable policy before confirming an order.

15. WARRANTIES

Product warranties, where available, may be provided by the manufacturer, brand, seller or supplier and may be subject to their respective terms. SparesHub does not independently provide a manufacturer warranty unless expressly stated for the particular transaction. Installation, labour, towing, vehicle downtime, consequential losses and associated expenses are not covered unless expressly agreed otherwise. Products should be installed by appropriately qualified personnel.

16. MARKETPLACE TRANSACTIONS

Where a product is supplied by a third-party seller, SparesHub may facilitate the transaction, payment, communication, logistics, documentation or dispute resolution. SparesHub may establish marketplace rules governing seller quotations, stock confirmation, dispatch, payment settlement, cancellations and disputes. Users agree to comply with such rules as displayed or communicated through the Platform.

17. NO CIRCUMVENTION

Users must not use information obtained through the Platform to intentionally bypass SparesHub and directly transact with another user introduced through the Platform where doing so is intended to avoid Platform charges, commissions or transaction processes. Users must not solicit another Platform user to move an active marketplace transaction outside SparesHub. SparesHub may suspend or terminate accounts engaged in systematic circumvention.

18. USER COMMUNICATION

The Platform may enable communication between buyers, sellers and SparesHub. Users must not use these facilities for:

• spam;
• harassment;
• abusive communication;
• fraud;
• misleading representations;
• unsolicited advertising;
• illegal transactions; or
• sharing malicious content.

SparesHub may monitor or retain marketplace communications where permitted by law for security, transaction management, dispute resolution, quality control and fraud prevention.

19. PROHIBITED ACTIVITIES

Users must not:

• provide false or misleading information;
• impersonate another person or business;
• submit fraudulent enquiries or quotations;
• manipulate marketplace pricing or transactions;
• list counterfeit, stolen or illegally obtained products;
• interfere with Platform security;
• introduce malware or harmful code;
• scrape or systematically extract Platform data without permission;
• reverse engineer Platform systems except where legally permitted;
• misuse customer, seller or business information obtained through the Platform;
• infringe intellectual-property rights;
• use the Platform for unlawful purposes; or
• attempt to circumvent Platform safeguards.

20. INTELLECTUAL PROPERTY

The Platform, including its software, interface, design, databases, original content, trademarks, logos and proprietary functionality, is owned by or licensed to Iradium Automobiles Private Limited. Users receive a limited, revocable, non-exclusive and non-transferable right to use the Platform for its intended purpose. No ownership rights are transferred to users.

21. AUTOMOBILE BRANDS AND TRADEMARKS

Automobile manufacturer names, vehicle names, trademarks, logos and part numbers appearing on the Platform may belong to their respective owners. Their use may be for identification, compatibility, reference or product-description purposes. Unless expressly stated, such use does not imply that SparesHub is owned, operated, sponsored or endorsed by the relevant automobile manufacturer.

22. USER-SUBMITTED CONTENT

Users may submit text, photographs, documents, part information, reviews or other content. You represent that you have the necessary rights to submit such content. You grant SparesHub a non-exclusive licence to use, reproduce, process and display such content to the extent reasonably necessary to operate the Platform, process enquiries and transactions, prevent fraud, provide customer support and improve the service.

23. REVIEWS AND RATINGS

SparesHub may allow buyers and sellers to rate transactions. Reviews must reflect genuine experiences and must not contain unlawful, defamatory, threatening, abusive, fraudulent or manipulated content. SparesHub may remove reviews that violate Platform rules but is not obligated to remove a review merely because another user disagrees with it.

24. PLATFORM AVAILABILITY

SparesHub does not guarantee uninterrupted or error-free operation of the Platform. Features may be modified, suspended or discontinued for maintenance, security, commercial or technical reasons. SparesHub may introduce new features, fees, eligibility criteria or transaction rules from time to time.

25. THIRD-PARTY SERVICES

The Platform may rely on payment gateways, logistics providers, communications services, analytics providers and other third-party services. SparesHub is not responsible for independent third-party systems or services beyond the extent required by applicable law.

26. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, SparesHub and Iradium Automobiles Private Limited will not be liable for indirect, incidental, special, punitive or consequential losses arising from use of the Platform or a transaction conducted through it. This includes loss of profit, revenue, business opportunity, vehicle usage or business interruption.

Where liability cannot legally be excluded, the Company's aggregate liability relating to a transaction will, to the maximum extent permitted by law, be limited to the amount actually paid to SparesHub by the user for the specific transaction giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded.

27. INDEMNITY

You agree to indemnify and hold harmless Iradium Automobiles Private Limited, its directors, employees and representatives from claims, losses, damages, liabilities and reasonable expenses arising from:

• your violation of these Terms;
• fraudulent or unlawful activity conducted through your account;
• information or products supplied by you;
• infringement of third-party rights; or
• your violation of applicable law.

28. SUSPENSION AND TERMINATION

SparesHub may restrict, suspend or terminate access where it reasonably believes that a user:

• violated these Terms;
• engaged in fraud or abusive conduct;
• poses a security or financial risk;
• repeatedly fails to honour marketplace transactions;
• misuses Platform information; or
• engages in unlawful activity.

Outstanding payment obligations and provisions intended to survive termination will remain enforceable.

29. PRIVACY

Personal information is processed in accordance with the Privacy Policy published on SparesHub.com. By using the Platform, you acknowledge that information necessary for processing enquiries and transactions may be shared with relevant sellers, logistics providers, payment providers and service providers, subject to applicable law and the Privacy Policy.

30. ELECTRONIC COMMUNICATION

By registering or submitting an enquiry, you consent to receive transactional communications relating to your account, enquiries, quotations, orders, deliveries and support requests through appropriate channels such as email, SMS, telephone, WhatsApp or Platform notifications, subject to applicable law. Marketing communications will be handled in accordance with applicable consent and communication requirements.

31. CHANGES TO THESE TERMS

SparesHub may revise these Terms from time to time. Updated Terms will be published on the Platform with an updated revision date. Continued use of the Platform after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

32. SEVERABILITY

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect.

33. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of India. Subject to any mandatory rights available under applicable law, courts having jurisdiction in Pune, Maharashtra shall have exclusive jurisdiction over disputes arising from these Terms or use of the Platform.
