Seller Terms & Conditions

These Seller Terms & Conditions ("Seller Terms") govern participation by sellers on SparesHub.com ("Platform"). The Platform is owned and operated by Iradium Automobiles Private Limited, operating under the brand SparesHub ("SparesHub", "Company", "we", "us" or "our"). These Seller Terms must be read together with the Platform Terms of Use, Privacy Policy, Buyer Terms & Conditions, Cancellation, Return and Refund Policy, Legal Disclaimer, and any marketplace rules, commercial schedules or operating procedures communicated by SparesHub from time to time. By registering as a seller, submitting quotations, accepting orders or supplying products through the Platform, you agree to these Seller Terms.

2. WHO MAY SELL ON SPARESHUB

Eligible sellers may include: automobile spare-parts retailers; distributors; authorised dealerships; wholesalers; manufacturers; importers; suppliers; stockists; and other businesses approved by SparesHub. SparesHub may approve, reject, suspend or terminate seller access at its discretion, subject to applicable law.

3. SELLER REGISTRATION

A seller may be required to provide: legal business name; trade name; GSTIN; PAN; business address; contact-person details; bank details; cancelled cheque; registration documents; dealership or distributorship information; invoices or sourcing evidence; product-category details; and any additional verification documents requested by SparesHub. The seller must ensure that all information provided is accurate, complete and current.

4. SELLER VERIFICATION

SparesHub may verify seller information through: document review; GST verification; bank verification; business references; purchase invoices; dealership confirmation; sample transactions; physical or video verification; and other reasonable due-diligence methods. Verification does not create any guarantee, endorsement or representation by SparesHub regarding the seller.

5. MARKETPLACE MODEL

SparesHub operates an enquiry-driven marketplace. Buyers may submit spare-parts requirements, and eligible sellers may receive opportunities to submit quotations. Depending on the transaction structure, SparesHub may: purchase products from the seller and resell them to the buyer; act as a marketplace or transaction facilitator; arrange logistics; collect payment from the buyer; issue the customer invoice; and/or settle the seller after successful completion of the transaction. The seller agrees to comply with the transaction structure communicated for each order.

6. NO GUARANTEE OF BUSINESS

Registration as a seller does not guarantee: a minimum number of enquiries; minimum sales; minimum revenue; geographical exclusivity; category exclusivity; or any minimum transaction volume. SparesHub may route enquiries based on factors including seller performance, product category, availability, location, price competitiveness and operational reliability.

7. ENQUIRY CONFIDENTIALITY

Seller enquiries may contain confidential commercial information. The seller must not: disclose buyer requirements to unauthorised persons; misuse enquiry information; use buyer information for unrelated marketing; sell buyer data; retain personal information longer than reasonably necessary; or use enquiry data to circumvent SparesHub.

8. QUOTATION SUBMISSION

When responding to an enquiry, the seller must provide accurate information including, where applicable: part number; description; brand; product category; price; applicable GST; stock status; quantity available; dispatch timeline; warranty status; product condition; and quotation validity. The seller is responsible for the accuracy of every quotation submitted.

9. PRICE QUOTED TO SPARESHUB

Where the transaction follows a trader model, the seller quotation represents the seller's net supply price to SparesHub, unless otherwise stated. SparesHub may independently determine the final price quoted to the buyer. The seller has no right to demand disclosure of: SparesHub's resale price; marketplace markup; gross margin; commission; buyer-facing discount; or commercial margin.

10. QUOTATION VALIDITY

The seller must honour a quotation during the stated validity period, subject only to genuine stock unavailability or a demonstrable error. Repeated withdrawal of valid quotations may result in reduced enquiry allocation, penalties or suspension.

11. STOCK ACCURACY

The seller must quote only products that are: physically available; available through a confirmed procurement source; or clearly identified as backorder or procurement items. A product must not be shown as "in stock" merely because the seller believes it may be available elsewhere.

12. STOCK CONFIRMATION

When a seller wins or is selected for an order, the seller may be required to reconfirm stock within the time specified by SparesHub. Where no separate time is communicated, the seller should confirm stock as soon as reasonably possible. Failure to confirm stock within the required period may result in cancellation or reassignment of the order.

13. ACCURATE PART IDENTIFICATION

The seller is responsible for ensuring that the quoted part matches: the buyer's requested part number; VIN/chassis information; vehicle model and variant; photographs; specifications; and other enquiry details. If uncertainty exists, the seller must clearly disclose it before quotation acceptance.

14. SUPERSEDED PART NUMBERS

If the quoted or supplied part number differs because of official supersession, the seller should clearly communicate the superseding relationship wherever reasonably possible. The seller may be required to provide supporting catalogue, dealership or manufacturer information.

15. PRODUCT CONDITION

Unless expressly quoted otherwise, all products supplied through the Platform must be: new; unused; genuine as represented; free from undisclosed damage; fit for normal commercial sale; and appropriately packaged. Used, refurbished, repaired, open-box, old-stock, shelf-worn or damaged products must be clearly identified before quotation acceptance.

16. GENUINE PRODUCT REPRESENTATION

Where the seller quotes a product as Genuine, OEM, or under an automobile manufacturer's brand, the seller must ensure that the product is authentic and legally sourced. The seller must not supply: counterfeit goods; fake-labelled goods; repackaged non-genuine products; tampered goods; stolen goods; or products with intentionally misleading branding. Any such conduct may result in immediate suspension and legal action.

17. SOURCING DOCUMENTS

SparesHub may request proof of sourcing, including: dealership invoices; distributor invoices; manufacturer invoices; purchase bills; stock-transfer records; or other commercial evidence. The seller must provide reasonable documentation when authenticity, warranty or provenance is questioned.

18. INVOICING TO SPARESHUB

Where the transaction requires the seller to invoice SparesHub, the seller must issue a valid tax invoice to Iradium Automobiles Private Limited. The invoice must contain all legally required details, including: GSTIN; invoice number; invoice date; HSN; taxable value; GST; part details; quantity; and other statutory particulars. Incorrect or incomplete invoices may delay payment.

19. BILL-TO / SHIP-TO TRANSACTIONS

Where instructed, the seller may be required to invoice:

  • Bill To: Iradium Automobiles Private Limited / SparesHub
  • Ship To: End customer or other location communicated by SparesHub

The seller must follow the exact billing and shipping instructions provided for the order.

20. NO DIRECT INVOICE TO BUYER

Where SparesHub is the seller of record, the third-party seller must not issue its commercial invoice directly to the buyer unless expressly instructed. The seller may be required to keep its own identity confidential from the buyer where the transaction structure requires it.

21. PACKAGING

The seller is responsible for proper packaging suitable for the product and mode of transport. Packaging must reasonably protect against: impact; moisture; leakage; crushing; scratching; bending; and normal logistics handling. Fragile, painted, glass, electrical or sensitive parts require appropriate additional protection.

22. LABELS AND PRODUCT IDENTIFICATION

The seller must not intentionally remove, alter or obscure: manufacturer labels; serial numbers; part numbers; holograms; batch numbers; QR codes; or other authenticity markers, unless specifically required for legitimate operational reasons and approved by SparesHub.

23. PACKED WEIGHT AND DIMENSIONS

Where requested, the seller must provide reasonably accurate: packed weight; length; width; height; and number of packages. Materially incorrect logistics data may result in recovery of additional freight or handling costs.

24. READY FOR PICKUP

The seller must mark or communicate an order as Ready for Pickup only after: the correct product has been packed; quantity has been verified; invoice is ready; package details are available; and the shipment can actually be handed over. False readiness updates may affect seller performance ratings.

25. DISPATCH TIMELINE

The seller must dispatch or hand over the order within the promised timeline. If a delay occurs, the seller must inform SparesHub promptly. Repeated dispatch delays may lead to reduced enquiry allocation, penalties, suspension or termination.

26. LOGISTICS

SparesHub may arrange transportation through third-party logistics providers. The seller must cooperate with pickup, including: providing package dimensions; printing labels where required; handing over shipment; maintaining pickup proof; and sharing supporting documents. The seller must not independently change the logistics method without approval where SparesHub has arranged transportation.

27. DIRECT SHIPPING TO BUYER

The seller may be required to ship directly to the buyer while maintaining the commercial structure specified by SparesHub. The seller must not include unauthorised promotional material, price lists, business cards or other information intended to bypass SparesHub.

28. DOUBLE-BLIND MARKETPLACE RULE

Where applicable, SparesHub may operate a double-blind model in which: the buyer's full identity is not disclosed to the seller; and the seller's identity is not disclosed to the buyer. The seller agrees not to attempt to identify, contact or transact directly with the buyer.

29. NON-CIRCUMVENTION

The seller must not bypass SparesHub in relation to buyers or enquiries introduced through the Platform. This includes: contacting buyers directly; sharing personal mobile numbers; inserting business cards in parcels; sharing private quotation links; soliciting direct orders; accepting direct payments; offering lower prices outside the Platform; or encouraging buyers to transact outside SparesHub. This obligation applies during an active transaction and to subsequent business derived from marketplace introductions, to the extent legally enforceable.

30. CUSTOMER CONTACT

If buyer contact information is provided solely for delivery or operational purposes, the seller may use it only for the authorised purpose. The seller must not use the contact details for: marketing; sales solicitation; WhatsApp promotions; database creation; or unrelated future business.

31. PAYMENT COLLECTION

Unless specifically authorised, sellers must not collect any amount directly from buyers. Any demand for: advance; balance payment; freight; cash on delivery; UPI payment; or other charges must be routed through SparesHub where the transaction is managed by SparesHub.

32. SELLER SETTLEMENT

Seller settlements will be processed according to the commercial terms applicable to the transaction. SparesHub may withhold settlement until completion of conditions including: invoice verification; dispatch confirmation; delivery confirmation; expiry of the applicable dispute period; resolution of shortage or damage claims; and verification of seller obligations.

33. PAYOUT TIMELINE

Unless otherwise agreed, payouts may be processed after successful completion of the transaction and applicable verification. Any stated payout timeline is subject to: banking holidays; unresolved disputes; incomplete seller documents; tax compliance; invoice discrepancies; and adjustment of recoverable amounts.

34. PAYMENT HOLDS

SparesHub may temporarily hold settlement where there is a reasonable concern regarding: product authenticity; wrong product; delivery dispute; return claim; invoice mismatch; tax discrepancy; suspected fraud; seller misconduct; or other material transaction issue.

35. SET-OFF AND RECOVERY

To the extent permitted by law, SparesHub may adjust recoverable amounts against future or pending settlements. Recoverable amounts may include: refunds attributable to seller error; excess freight caused by incorrect packing data; return freight; penalties; chargebacks; buyer compensation approved due to seller fault; tax losses caused by invalid invoices; and other amounts properly due from the seller.

36. RETURNS DUE TO SELLER ERROR

Where a return arises because the seller supplied: the wrong part; wrong quantity; counterfeit product; damaged product; materially misrepresented product; or a product inconsistent with the accepted quotation, the seller may be responsible for associated costs. These may include: forward freight; reverse freight; replacement freight; refund amount; payment processing loss; and reasonable administrative costs, to the extent contractually applicable and legally permitted.

37. BUYER-CAUSED RETURNS

Where a return arises solely because of buyer error and the seller correctly supplied the confirmed product, the seller is not automatically required to accept the return. Any discretionary return will require seller and SparesHub approval.

38. WARRANTY CLAIMS

Where a product carries a manufacturer, dealership, supplier or seller warranty, the seller must reasonably assist in processing valid warranty claims. The seller may be required to provide: purchase evidence; warranty documentation; inspection support; manufacturer contact; replacement; or credit note, depending on the applicable warranty terms.

39. WARRANTY REPRESENTATIONS

The seller must not state that a product has a warranty unless such warranty genuinely exists. Any warranty period, conditions and limitations quoted by the seller must be accurate.

40. CUSTOMER COMPLAINTS

SparesHub may investigate buyer complaints. The seller must cooperate by providing reasonable information including: photographs; invoices; packing evidence; catalogue references; authenticity documents; dispatch records; stock information; and other relevant records. Failure to cooperate may result in the dispute being decided based on available evidence.

41. SELLER PERFORMANCE

SparesHub may monitor metrics including: quotation response rate; price competitiveness; stock-confirmation accuracy; order acceptance; dispatch speed; cancellation rate; wrong-part rate; return rate; dispute rate; authenticity complaints; and buyer satisfaction. These metrics may influence future enquiry allocation.

42. RATINGS AND REVIEWS

Sellers may receive ratings or internal performance scores. The seller must not manipulate ratings or reviews through: fake transactions; incentives for false reviews; duplicate accounts; or coercion. SparesHub may remove manipulated ratings or reviews.

43. SERVICE LEVEL REQUIREMENTS

SparesHub may establish operational SLAs for sellers, including: quotation response time; stock confirmation time; dispatch time; document-upload time; dispute response time; and return handling. Sellers agree to comply with the applicable SLA communicated for the relevant category or transaction.

44. PENALTIES AND COMMERCIAL CONSEQUENCES

Repeated or serious seller failures may result in: reduced enquiry allocation; temporary suspension; recovery of transaction costs; withholding of payouts; penalties where contractually agreed; removal from preferred seller status; or termination of seller access.

45. PRODUCT RECALLS

The seller must promptly inform SparesHub of any manufacturer or regulatory recall affecting products supplied through the Platform. The seller must reasonably cooperate in any corrective action.

46. TAX COMPLIANCE

The seller is responsible for its own: GST registration; tax filings; invoice compliance; e-invoicing obligations; e-way bill requirements; income-tax obligations; and other statutory compliance. The seller must issue legally valid documents necessary for SparesHub to claim input tax credit where applicable.

47. INPUT TAX CREDIT LOSS

If SparesHub suffers a loss of eligible input tax credit due to: invalid invoice; incorrect GSTIN; seller non-filing; mismatch in GST returns; cancellation of GST registration; or other seller non-compliance, SparesHub may recover the resulting tax, interest or other directly attributable loss from the seller, to the extent permitted by law.

48. E-INVOICING AND E-WAY BILL

Where applicable, the seller is responsible for generating valid: IRN; QR code; e-invoice; and e-way bill in accordance with law. The seller must provide these documents before dispatch where required.

49. LEGAL COMPLIANCE

The seller must comply with all applicable laws relating to: sale of goods; taxation; intellectual property; counterfeit products; consumer protection where applicable; product safety; packaging; transportation; data protection; and business operations.

50. PROHIBITED PRODUCTS

The seller must not quote or supply: counterfeit goods; stolen goods; illegally imported products; products subject to prohibited sale; tampered safety products; products with falsified labels; goods knowingly violating third-party rights; or any product prohibited by law or Platform rules.

51. INTELLECTUAL PROPERTY

The seller must have the right to use any: product photographs; descriptions; logos; catalogues; documents; or other content uploaded to the Platform. The seller grants SparesHub a non-exclusive licence to use seller-provided content as reasonably necessary to operate and promote the marketplace and process transactions.

52. DATA PROTECTION

The seller must protect any personal or business information received through SparesHub. Such information must not be: sold; publicly disclosed; misused; retained indefinitely; shared with unauthorised third parties; or used for unrelated solicitation.

53. PLATFORM DATA

Enquiry data, buyer demand information, quotation history, marketplace pricing information and related Platform data may constitute proprietary or confidential information of SparesHub. The seller must not systematically scrape, export or commercially exploit such data without written permission.

54. CONFIDENTIAL INFORMATION

The seller must keep confidential all non-public information received from SparesHub, including: commercial terms; margin structures; buyer data; seller-performance data; marketplace processes; internal reports; software information; and business strategies.

55. SELLER ACCOUNT SECURITY

The seller is responsible for all activities conducted through its account. The seller must: keep passwords secure; restrict account access; immediately report unauthorised access; and ensure employees use the Platform appropriately.

56. SELLER EMPLOYEES AND REPRESENTATIVES

The seller is responsible for actions taken by its: employees; managers; salespersons; delivery staff; agents; and authorised users when using the Platform or handling SparesHub transactions.

57. NO AGENCY OR PARTNERSHIP

Seller registration does not create: employment; franchise; partnership; joint venture; legal agency; or exclusive distributorship between the seller and SparesHub. The parties operate as independent businesses unless expressly agreed otherwise.

58. SUSPENSION

SparesHub may temporarily suspend a seller where reasonably necessary due to: poor fulfilment performance; excessive cancellations; complaints; suspected counterfeit products; fraudulent activity; tax non-compliance; abusive conduct; data misuse; circumvention; or breach of these Seller Terms.

59. TERMINATION

SparesHub may terminate seller participation for serious or repeated violations. Upon termination: new enquiries may cease; pending orders may still need to be fulfilled; outstanding disputes may continue; amounts due may be adjusted; and confidentiality and non-circumvention obligations that are intended to survive may continue.

60. SELLER WITHDRAWAL

A seller may request to stop participating in the marketplace. However, withdrawal does not cancel: accepted orders; outstanding warranty obligations; pending returns; disputed transactions; amounts due; or legal and tax obligations.

61. INDEMNITY

The seller agrees to indemnify and hold harmless Iradium Automobiles Private Limited, its directors, employees and representatives from claims, losses, liabilities and reasonable expenses arising from: counterfeit or infringing products; false seller representations; tax non-compliance; invalid invoices; product defects attributable to seller conduct; data misuse; violation of law; breach of these Seller Terms; or third-party claims caused by products supplied by the seller.

62. LIMITATION OF LIABILITY

To the maximum extent permitted by law, SparesHub will not be liable to the seller for indirect, incidental, punitive, special or consequential losses, including: loss of expected business; loss of profits; loss of opportunity; loss of goodwill; or anticipated marketplace sales. SparesHub does not guarantee any minimum enquiry or order volume.

63. SYSTEM AND PLATFORM AVAILABILITY

The Platform may occasionally be unavailable due to: maintenance; upgrades; infrastructure issues; third-party outages; internet disruption; or security requirements. SparesHub does not guarantee uninterrupted marketplace access.

64. MARKETPLACE CHANGES

SparesHub may modify: seller workflows; quotation mechanisms; payout processes; seller eligibility; enquiry allocation; service levels; commercial rules; and Platform features from time to time. Material commercial changes may be communicated separately where appropriate.

65. COMMUNICATIONS

The seller agrees to receive transaction-related communications through: phone; SMS; WhatsApp; email; and Platform notifications. The seller must maintain current contact information.

66. RECORD KEEPING

The seller should retain transaction-related records for the period required by applicable law, including: invoices; tax records; purchase documents; shipment evidence; warranty records; and authenticity evidence.

67. DISPUTE RESOLUTION

If a dispute arises, the seller must first cooperate with SparesHub's internal dispute-resolution process. SparesHub may review evidence from: the seller; buyer; courier or transporter; payment provider; and other relevant parties. The seller agrees to provide reasonable cooperation during the investigation.

68. GOVERNING LAW AND JURISDICTION

These Seller Terms are governed by the laws of India. Subject to mandatory legal rights and jurisdiction, courts having jurisdiction in Pune, Maharashtra shall have exclusive jurisdiction over disputes relating to these Seller Terms.

69. CHANGES TO SELLER TERMS

SparesHub may update these Seller Terms periodically. Continued participation in the marketplace after revised terms become effective will constitute acceptance of the revised terms, subject to applicable law.
